1. Definitions

In these Terms:

“GrowKitchen” refers to our CKaaS platform, cloud kitchens, staff, systems and operations.
“Client”, “You”, “User” refers to anyone accessing the website or engaging our services.
“CKaaS Service” refers to our cloud kitchen operations, staffing, recipe execution, support and managed food operations services.
“Brand” refers to your food brand, including its menu, recipes, identity and positioning.
“Website” refers to growkitchen.in and all its pages.

2. Eligibility

To use our services, you confirm that you:

Are at least 18 years of age
Are legally capable of entering into a binding contract
Will provide accurate, current and complete information when requested

We reserve the right to refuse access to the Website or CKaaS Services to any person or entity at our sole discretion.

3. Website Usage

By accessing our Website, you agree that you will:

Not misuse, disrupt or attempt to damage the Website or its infrastructure
Not copy, scrape or reproduce content without explicit written permission
Not upload or transmit malicious code, malware, or harmful scripts
Not violate any applicable laws of India while using the Website

All Website content, including text, images, graphics and logos, remains the intellectual property of GrowKitchen and is protected under applicable copyright and intellectual property laws.

4. CKaaS Service Terms

When you onboard your Brand with GrowKitchen, the following terms apply in addition to any written agreement or proposal shared with you.

A. What We Provide

As part of the CKaaS Service, we may provide:

Access to our cloud kitchens in designated locations
Trained operational staff for food prep, cooking and dispatch
Daily recipe execution as per approved SOPs
Inventory coordination and vendor support
Swiggy/Zomato onboarding support and listing assistance
Operational hygiene checks and periodic reporting

B. What You Own

You retain full ownership of:

Your Brand name
Menu and recipes (including secret recipes shared by you)
Pricing, positioning and strategy
Identity, design, trademarks and other brand IP

C. What You Must Provide

To run your Brand smoothly, you are responsible for:

Providing accurate brand and menu information
Submitting required documents for aggregator onboarding (where applicable)
Paying the agreed monthly CKaaS fees on time
Providing timely menu approvals, SOP sign-offs and launch confirmations

D. Monthly Fee Structure

Unless otherwise agreed in writing:

Plans typically start at ₹35,000/month per Brand per kitchen
The fee usually includes manpower, utilities share (electricity, water, gas split) and operational support as described in your proposal
Additional fees may apply for add-on services such as marketing, design or custom projects
Pricing may vary based on city, cuisine type, prep complexity and number of kitchens
All pricing is exclusive of GST unless explicitly mentioned otherwise

5. Payments & Billing

By engaging our CKaaS Services, you agree that:

Invoices are to be paid as per the agreed billing cycle and payment terms
Delayed payments may lead to service slow-down or temporary suspension
Non-payment beyond 15 days from due date may result in permanent service termination
No refunds are issued for partial months, unused periods or mid-cycle cancellations

6. No Revenue Share Model

GrowKitchen operates on a flat monthly fee model. Unless explicitly agreed in a separate written contract, we:

Do not charge revenue share
Do not take a commission on orders
Do not charge franchise royalties

Your sales revenue from orders remains entirely yours, subject to aggregator and payment gateway charges.

7. Client Responsibilities

You agree to:

Follow platform guidelines and policies (Swiggy, Zomato, FSSAI and other regulators)
Provide clear and complete menu instructions, including any allergens or special handling
Approve SOPs, recipes and standards before launch
Maintain open communication with our team via WhatsApp, email or other agreed channels
Provide packaging guidelines and brand identity references where required

You must ensure that no illegal, unsafe or harmful food products or ingredients are requested to be prepared through our kitchens.

8. Operational Disclaimer

GrowKitchen will perform CKaaS operations with professional care and reasonable skill. However, you understand and agree that we do not guarantee:

Minimum order counts per day or per month
Specific ratings or reviews on delivery aggregators
Viral growth or specific marketing outcomes
Performance of delivery partners (e.g. Swiggy/Zomato riders, delivery delays, etc.)
Non-occurrence of external events such as outages, strikes, or force majeure

9. Intellectual Property

A. Your IP (Brand & Recipes)

Your Brand, including its name, recipes, designs, menus and any associated intellectual property, remains your exclusive property. Sharing recipes or SOPs with us does not transfer ownership.

B. Our IP

GrowKitchen retains ownership of:

Kitchen processes and infrastructure
Operational SOP frameworks
Systems, dashboards and internal tools
Training manuals, templates and operational designs

You agree not to copy, reverse engineer or replicate our CKaaS operating model or internal systems for independent use or for third parties.

10. Disclaimer of Warranties

The Website and CKaaS Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we:

Do not warrant uninterrupted or error-free operations at all times
Do not guarantee profitability or specific financial outcomes for your Brand
Do not guarantee acceptance timelines or decisions by delivery platforms

11. Limitation of Liability

To the fullest extent permitted by law, GrowKitchen shall not be liable for:

Loss of sales, revenue, profits or business opportunities
Indirect, incidental, special or consequential damages
Platform-related issues including delays, rating changes or outages
Ingredient price fluctuations or margin variations
Any loss arising from information or instructions incorrectly provided by you

In any event, our maximum aggregate liability arising out of or in connection with CKaaS Services shall be limited to an amount not exceeding one month of CKaaS fees actually paid by you.

12. Termination of Services

GrowKitchen may suspend or terminate CKaaS Services if:

Payments are not made in line with agreed terms
Kitchen hygiene or safety norms are repeatedly violated
Staff or facilities are misused or abused
Illegal, harmful or non-compliant activities are suspected

Unless stated otherwise in a specific agreement, Clients may terminate services by giving at least 30 days’ written notice. Any outstanding dues must be cleared before exit.

13. Changes to These Terms

We may update or modify these Terms from time to time. Updated Terms will be posted on this page with a revised “Effective Date”.

Continued use of our Website or CKaaS Services after changes are made constitutes your acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
